Welcome to TraderPadi. These Terms of Service ("Terms") govern your access to and use of TraderPadi's mobile application, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, downloading our app, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and TraderPadi Limited ("TraderPadi," "we," "us," or "our").

1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

1.2 Business Use

Our Services are designed for business and commercial use by informal traders, market vendors, kiosk operators, and provision store owners. You may not use our Services for any unlawful or fraudulent purposes.

2. Description of Services

TraderPadi provides an offline-first commerce operating system that enables informal traders to:

  • Record and track sales transactions
  • Manage inventory and stock levels
  • Track customer credit and repayments
  • Generate business reports and analytics
  • Access local advertising opportunities (coming soon)
  • Multi-user access for business collaboration

2.1 Service Availability

We strive to provide continuous access to our Services. However, we do not guarantee that our Services will be available at all times or without interruption. We may suspend, modify, or discontinue any part of our Services at any time for maintenance, updates, or other reasons.

2.2 Offline Functionality

Our Services are designed to work offline. Your data is stored locally on your device and synchronized to our servers when an internet connection is available. We are not responsible for data loss due to device failure, loss, or damage.

3. User Accounts

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information, including your name, phone number, and business details. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Responsibilities and Conduct

You retain ownership of the data you input into our Services. By using our Services, you grant us a license to use, store, and process your data solely for the purpose of providing and improving our Services, as described in our Privacy Policy.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to you.

6. Payment and Pricing

6.1 Free Services

TraderPadi's core features are currently available free of charge. We reserve the right to introduce paid features or subscription plans in the future, with prior notice to users.

6.2 Future Paid Services

If we introduce paid services, you will be informed of the pricing, payment terms, and billing practices before any charges are incurred. By subscribing to paid services, you agree to pay all applicable fees.

6.3 Third-Party Payment Processors

Payments may be processed through third-party payment processors. We are not responsible for any errors, failures, or security issues related to third-party payment services.

7. Advertising Services

7.1 Local Advertising (Coming Soon)

We plan to introduce local advertising features that allow businesses to promote their products to TraderPadi users in their area. Separate terms and conditions will apply to advertising services.

7.2 Advertiser Responsibilities

Advertisers are responsible for ensuring that their advertisements comply with all applicable laws and regulations. We reserve the right to reject or remove any advertisement that violates our policies or is deemed inappropriate.

8. Data Privacy and Security

We take data privacy and security seriously. Our collection, use, and protection of your personal data are governed by our Privacy Policy and comply with applicable African data protection laws, including the Nigeria Data Protection Regulation (NDPR) 2019 and South Africa's Protection of Personal Information Act (POPIA).

8.1 Data Backup

While we implement backup procedures for synchronized data, we recommend that you maintain your own backups of critical business data. We are not liable for data loss due to technical failures, device issues, or other circumstances beyond our control.

9. Third-Party Services and Links

Our Services may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

10. Disclaimers and Limitations of Liability

10.1 No Warranty

Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure.

10.2 Limitation of Liability

To the fullest extent permitted by law, TraderPadi and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our Services, even if we have been advised of the possibility of such damages.

10.3 Maximum Liability

In no event shall our total liability to you for all claims arising from or related to our Services exceed the amount you paid to us in the 12 months preceding the claim, or ₦10,000 (Nigerian Naira), whichever is greater.

10.4 Business Decisions

We provide tools to help you manage your business, but we do not provide financial, legal, or business advice. You are solely responsible for all business decisions and their outcomes. We are not liable for any losses resulting from your business decisions or use of our Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless TraderPadi and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your business activities or transactions
  • Any data or content you submit to our Services

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and app, and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using our Services and may terminate your account.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, your right to use our Services will immediately cease.

13.2 Termination by Us

We may suspend or terminate your access to our Services at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activities.

13.3 Effect of Termination

Upon termination, you will lose access to your account and data stored on our servers. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising from or related to these Terms or our Services shall be resolved through the following process:

  2. Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing legal action.
  3. Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act of Nigeria.

14.3 Jurisdiction

Subject to the arbitration clause above, you agree that any legal action arising from or related to these Terms or our Services shall be brought exclusively in the courts of Lagos, Nigeria.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TraderPadi regarding our Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any third party without your consent.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
